Effective Date: 2026
These Terms of Service ("Terms") govern your access to and use of the website https://leadingdigitalecom.com (the "Site") and any coaching, mentorship, training, or related services offered by LEADING DIGITAL ECOM LLC ("Company," "we," "us," or "our"). By accessing the Site, submitting an application, purchasing any program, or using any of our services, you agree to be bound by these Terms.
1. Description of Services
The Company provides educational programs, mentorship, coaching, training materials, templates, software tools, and community access related to building and operating e-commerce businesses, including but not limited to selling on Amazon ("Services"). Services may be delivered through one-on-one coaching calls, group coaching, video training libraries, written materials, community platforms, and related support channels.
The specific Services, deliverables, duration, and pricing applicable to your enrollment are set forth in your individual enrollment agreement or order form, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and your enrollment agreement, the enrollment agreement controls for that specific program.
2. Eligibility
You must be at least 18 years of age to purchase or use our Services. By using the Site or purchasing Services, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
3. No Earnings or Results Guarantee
The Company provides education and mentorship. The Company does not guarantee any financial results, income, profits, sales, or business outcomes of any kind.
Any income figures, sales figures, testimonials, or results referenced on the Site, in our videos, in our marketing, or in any communications are individual results, are not typical, and do not guarantee that you will achieve similar results. Your results depend on factors outside of our control, including your own effort, experience, market conditions, available capital, and consistent implementation of the training provided.
Any performance-based guarantee offered with a specific program is governed exclusively by the written guarantee terms provided to you before purchase, including all eligibility criteria and requirements. Nothing on the Site itself constitutes a guarantee.
E-commerce and Amazon selling involve risk, including the potential loss of money invested in your business education, inventory, and operations. You are solely responsible for your business decisions.
4. Application and Enrollment
Submission of an application on the Site does not create an enrollment or purchase obligation for either party. Enrollment occurs only after a strategy call, mutual agreement on program fit, and execution of an enrollment agreement or order form, including payment.
The Company reserves the right to decline any application at its sole discretion.
5. Payment Terms
Pricing, payment schedules, and payment plan terms for each program are set forth in your enrollment agreement. By providing payment information, you authorize the Company or its payment processors to charge the agreed amounts according to the agreed schedule.
Payment plans are a financial commitment. Failure to make scheduled payments may result in suspension or termination of access to Services and may subject you to collection activity for amounts owed.
Amazon seller fees, software subscriptions, product purchases, inventory costs, advertising costs, and other operating expenses of your business are separate from and in addition to program tuition.
6. Refunds and Guarantees
Refund and guarantee terms, if any, are governed exclusively by the written terms of your enrollment agreement and any separate guarantee document provided to you. Nothing on the Site modifies those terms. To request a refund under an applicable guarantee, you must follow the claim process specified in your enrollment agreement.
7. Intellectual Property
All content provided as part of the Services, including videos, training materials, templates, scripts, supplier lists, research methods, frameworks, and community content, is the intellectual property of the Company or its licensors and is protected by copyright, trademark, and other laws.
Your access to this content is a limited, non-exclusive, non-transferable license for your personal use in operating your own business. You may not copy, record, share, resell, distribute, or use the content to train, teach, or provide competing services to others without the Company's prior written consent. Violation of this section may result in immediate termination of access without refund.
8. Community and Conduct
Access to community channels is a privilege conditioned on respectful conduct. The Company may remove any participant from community spaces, coaching calls, or the program entirely, without refund, for harassment, abusive conduct toward staff or other members, sharing of proprietary materials, or any conduct the Company reasonably determines to be harmful to other participants or the Company's business.
9. No Professional Advice
The Services provide business education. Nothing in the Services constitutes legal, tax, accounting, financial, or investment advice. You are responsible for complying with all applicable laws, regulations, and platform policies, including Amazon's Seller Policies, in the operation of your business. Consult qualified professionals for legal, tax, and financial matters specific to your situation.
10. Third-Party Platforms
The Services reference and rely on third-party platforms, including Amazon, payment processors, and software tools. The Company does not control these platforms and is not responsible for their policies, decisions, outages, or changes, including any suspension or termination of your Amazon seller account.
11. Termination of Access
The Company may suspend or terminate your access to the Services for violation of these Terms, non-payment, or abuse of the community or staff. Upon termination for cause, no refund is owed. Upon completion of your program term, access to program materials and community may expire according to the terms of your enrollment agreement.
12. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability arising out of or relating to the Services is limited to the amount you actually paid to the Company for the Services giving rise to the claim. The Company is not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business opportunities, or business interruption, even if advised of the possibility of such damages.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of [STATE/PROVINCE], without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved by binding arbitration in [CITY, STATE/PROVINCE], and you waive any right to participate in a class action against the Company. [ADJUST THIS SECTION WITH YOUR LAWYER TO MATCH YOUR JURISDICTION AND PREFERRED DISPUTE PROCESS.]
